Anthropic publicly filed its S-1 with the SEC on Monday morning, ending weeks of leaked drafts.

In one minute

Anthropic, PBC filed a public Form S-1 registration statement with the US Securities and Exchange Commission on October 26, 2026.

What changed: Same event as Anthropic publicly filed its S-1 to list on Nasdaq under ticker ANT.

The filing describes a proposed initial public offering of Class A common stock and says Anthropic has applied to list on the Nasdaq Global Select Market under the symbol ANT.

The prospectus states that Anthropic and named selling stockholders will sell Class A shares. Anthropic will not receive proceeds from shares sold by those stockholders. The company is incorporated as a Delaware public benefit corporation. Its Long-Term Benefit Trust will hold Class T stock and generally appoint or remove Class T directors, who will form a majority of the authorized board. A Founder LLC will receive Class F stock carrying 50.1% of total voting power on general stockholder matters.

The preliminary prospectus leaves the expected share price and number of shares blank. It says the registration statement is not yet effective, so securities may not yet be sold. The filing does not establish an offering date, valuation, final share count, or final price.
